Agreement and signatures

Sign one standing compliance agreement for these legal entities, then use accepted orders and addenda for particular work.

When this applies

The terms on page 7 apply to future orders accepted during registration even when not repeated. They do not introduce unseen requirements or make later website edits binding.

13.1

Formation and continuing registration

What this means

The agreement starts when RCDEN countersigns. RCDEN undertakes to administer the registration and review qualification evidence; the supplier gives the stated commitments. Unchanged company details do not have to be submitted again.

13.2

Orders, addenda and precedence

What this means

The standing terms apply to orders accepted between these legal entities during registration, even if an order does not repeat them. Each piece of work still needs an accepted order or supply contract. Additional requirements must be identified and supplied through an agreed contract or signed addendum. Resolve conflicting terms before the affected activity; later website edits do not change what was agreed.

13.3

Required approvals before activity

What this means

Each party must complete the assurance and approvals it is responsible for by the actual tender, award or activity deadline. This can be before an order exists. Missing requirements block the affected disclosure, work, access, processing, transfer or subcontract. A signature or an unanswered exception does not remove that restriction.

13.4

Lawful and ethical conduct

What this means

The supplier must comply with the laws that apply, including relevant export, sanctions, bribery, modern-slavery and data-protection duties. It must use proportionate prevention arrangements, disclose material conflicts and avoid improper inducements in RCDEN business.

13.5

Information, cyber and personal data

What this means

Each party protects the other’s confidential information and uses it only for the agreed purpose. The supplier follows authorised access, markings, handling routes and the cyber duties for the work. Required processing contracts and transfer safeguards must exist before processing. Product security requirements are agreed for the actual deliverable.

13.6

Quality and sub-suppliers

What this means

The supplier must meet the agreed specification and quality requirements, control changes and report material nonconformities. Required concessions and subcontracting consent must be obtained first. Applicable obligations must be passed in writing to approved sub-tiers, while the supplier remains responsible for their performance.

13.7

Evidence, changes and incidents

What this means

Make reasonable enquiries before declaring the record accurate. Report material changes affecting control, restrictions, assurance, insurance or delivery, and provide proportionate verification through authorised routes. Report relevant incidents promptly within applicable deadlines; direct statutory or MOD reporting duties still apply.

13.8

Insurance, liability and information use

What this means

Maintain insurance required by law and any extra cover expressly agreed for the activity. The insurance amount is not a liability cap. This form creates no separate monetary cap or indemnity and preserves expressly applicable agreed liability terms. RCDEN must protect registration information under the applicable law, confidentiality duties and supplied privacy notice.

13.9

Duration and execution

What this means

Either party can end registration by written notice to the nominated business contact. Existing orders continue under these terms until completion or termination; accrued rights and continuing security, confidentiality and data duties remain. The agreement is governed by English law and the courts of England and Wales. Authorised signatures, including legally valid electronic signatures, are permitted; a stamp is optional.

  1. Read the duration and execution terms in the issued agreement. It is a simple contract and provides for legally valid electronic signatures.
  2. Use an authorised signatory and retain the complete executed record, including any expressly agreed departures.

13.10

Supplier declaration and signature

+

What to enter

On page 8, repeat the master reference and supplier legal name. Identify any expressly agreed departures or enter None. The authorised supplier signatory completes their name, position, signature and separate date boxes. The stamp is optional. Check the record and visible text before signing.

Check applicability

A material exception is not accepted just because it appears in 11.1. The signatory must have authority to bind the legal entity.

Where to find it / what to do next

  1. Read page 7 before signing page 8. Confirm the legal name and agreement reference match the record you completed.
  2. Record any expressly agreed departures and attachment references. Then add the authorised signatory's name, role, signature and actual signing date.
  3. Use an electronic signing method or sign by hand as appropriate. Check all filled entries are visible and retain the completed record for countersignature.

An unanswered legal departure needs agreement before signing. A company stamp is optional; do not invent a stamp or sign for someone without authority.

13.11

RCDEN countersignature

What to enter

RCDEN completes its authorised signatory details and effective date, then identifies the executed evidence/continuations and total core-record pages. Blank addendum pages are excluded until separately completed and signed. Retain the countersigned record.
